1. Introduction and Agreement

Welcome to EZ Wire, the cloud-based electrical harness design platform operated by EP Wiring Limited. By creating an account or using our service, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not use EZ Wire.

IMPORTANT PAYMENT NOTICE:

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

3. EZ Wire Service Overview

3.1 What We Provide

EZ Wire is a subscription-based software platform that enables you to:

  • Design electrical wire harnesses using our web-based tools
  • Generate professional harness documentation
  • Store and manage your design projects in the cloud

3.2 Service Availability

We aim to provide reliable access to EZ Wire 24/7, though we cannot guarantee uninterrupted service. We may temporarily suspend the service for:

  • Scheduled maintenance
  • Emergency security updates
  • Infrastructure improvements
  • Legal or regulatory compliance

3.3 System Requirements

EZ Wire runs in modern web browsers. We recommend the latest version of Google Chrome. You are responsible for maintaining compatible devices and internet connectivity.

4. User Accounts and Registration

4.1 Account Creation

To use EZ Wire, you must create a user account by providing:

  • Valid email address
  • Secure password
  • Accurate contact information

4.2 Account Security

You are fully responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activity that occurs under your account
  • Immediately notifying us of any security breaches

We reserve the right to suspend accounts that show signs of unauthorised access or misuse.

5. Subscription Plans and Billing

5.1 Available Plans

We offer multiple subscription tiers with different features and usage limits. Current pricing and plan details are available at https://ezwire.app/pricing. Plans may be modified, added, or discontinued without notice.

DIY Plan - Personal and Non-Commercial Use Only

The DIY plan is strictly limited to personal, non-commercial use. Use of the DIY plan for any commercial purpose - including but not limited to designing harnesses for paying customers, use within a business, or producing deliverables for third parties - is prohibited. Users requiring commercial use must subscribe to the Shop plan or Pro plan.

5.2 Payment Processing

All transactions are handled by Paddle.com, including:

  • Payment collection and processing
  • Tax calculation and remittance
  • Invoice generation
  • Billing support and disputes

We do not store payment information. All payment data is securely managed by Paddle in compliance with industry standards.

5.4 Refund Policy

We offer a 14-day refund period from the date of your subscription purchase, subject to the conditions below:

IMPORTANT REFUND CONDITIONS:

You lose your right to a refund once you:

  • Export any diagrams or design files from EZ Wire
  • Print any documentation or diagrams generated by the platform

By exporting or printing content, you acknowledge receipt of the digital services and waive your 14-day cancellation right in accordance with UK consumer protection law.

To request a refund within the eligible period, contact Paddle Support at https://paddle.com/support. All refund requests are processed by Paddle as the merchant of record.

This policy complies with UK distance selling regulations for digital content and services.

6. Acceptable Use Guidelines

6.1 Prohibited Activities

You must not:

  • Use the service for illegal purposes or violate any applicable laws
  • Attempt to reverse engineer, hack, or compromise our systems
  • Not rent, lease, sub-license, loan, provide, or otherwise make available, the Software or the Services in any form, in whole or in part, to any person without prior written consent from us
  • Upload malicious code, viruses, or harmful content
  • Interfere with other users' access to the service
  • Use automated tools to access the service without permission
  • Compete directly with EZ Wire using our own platform
  • Use the DIY plan for any commercial purpose, including designing harnesses for customers or within a business context
  • Violate intellectual property rights of others

6.2 Content Standards

All content you upload must:

  • Comply with applicable laws and regulations
  • Respect intellectual property rights
  • Be appropriate for a professional engineering environment
  • Not contain malicious or harmful elements

7. Intellectual Property and Data Ownership

7.1 Your Design Content

You own all electrical designs, schematics, and harness documentation you create ("Your Designs"). EP Wiring Limited claims no ownership of Your Designs.

You grant us a limited license to:

  • Store and process Your Designs to provide the service
  • Create backups for data protection
  • Display Your Designs within your account interface
  • Process Your Designs for export and collaboration features

This license ends when you delete content or terminate your account.

7.2 EZ Wire Platform Rights

The EZ Wire software, including all code, algorithms, user interface designs, and documentation, is owned by EP Wiring Limited and protected by intellectual property laws. You receive a non-exclusive, non-transferable license to use the platform during your subscription.

7.3 Data Export and Portability

  • Export Your Designs anytime in standard formats (PDF, CSV, etc.)
  • No additional fees for data export during active subscription
  • We permanently delete Your Designs 30 days after account deletion

8. Privacy and Data Protection

8.1 Data Handling

We process personal data according to our Privacy Policy available at https://ezwire.app/privacy and in compliance with UK GDPR and Data Protection Act 2018.

8.2 Data Location

Your data may be stored and processed in secure facilities within USA and UK. We ensure appropriate safeguards for any international data transfers.

8.3 Data Retention

  • Active account data retained indefinitely while subscription is current
  • Deleted account data deleted after 30-day retention period
  • Backup data deleted according to our data retention schedule
  • Legal compliance may require longer retention in some cases

9. Service Limitations and Warranties

9.1 Professional Engineering Disclaimer

IMPORTANT: EZ Wire is a design tool only. You are solely responsible for:

  • Verifying all designs meet applicable engineering standards
  • Ensuring compliance with relevant electrical codes and regulations
  • Professional review and validation of designs before manufacturing
  • Safety testing and certification of manufactured products

EZ Wire is not certified for safety-critical applications without appropriate professional oversight.

9.2 Limitation of Warranties

Beyond the express warranty above, THE SERVICE IS PROVIDED "AS IS". We disclaim all other warranties, express or implied, including merchantability, fitness for particular purpose, and non-infringement.

10. ("Non-Excludable Liabilities")

Subject to Non-Excludable Liabilities, we, the other members of our group of companies and any third parties connected to us hereby expressly exclude any liability for any direct, indirect, special, or consequential, punitive, or exemplary loss or damage arising out of or in connection with our failure to perform or defect or delay in performance of any of our obligations, your use of (or inability to use) the Software or reliance upon or accuracy of any content or materials accessed via the Software, including the results from the Services, and such excluded liability shall include but not limited to:

  • loss or interruption of business
  • loss of income or revenue
  • loss of profits or business
  • loss or corruption of data, corruption of data and/or remediation costs related to the loss or corruption of any data
  • loss of anticipated savings
  • loss of goodwill
  • any additional and/or wasted management or office time and/or administrative costs and expenses incurred by you arising from the availability of this website or any of the services we provide in connection with the Software; or
  • any losses, claims, demands, actions, costs, expenses or liabilities claimed from by a third party as a consequence of our breach of these Licence Terms; however so caused, whether in contract, tort (including without limitation negligence or if caused by a deliberate and or repudiatory breach), misrepresentation, restitution, otherwise, even if such losses are reasonably foreseeable.

You expressly agree that your use of the Software and the Services is at your sole risk and we expressly disclaim any and all warranties, either express or implied by law (whether by statute, common law or otherwise), including without limitation warranties as to quality, suitability for any purpose, merchantability, compatibility, reliability, accuracy, completeness, availability, timeliness, access, use or non-infringement. Subject to the Non-Excludable Liabilities, we accept no responsibility or liability and make no guarantee that the Software and/or the Services will be free from faults, errors and/or omissions. You are responsible for evaluating the quality, suitability, accuracy, completeness and reliability of the services or any information provided on any part of this website, Software and the Services.

The Software and the Services provided by us or on our behalf by any of our group companies, partners or third parties in connection with the Software and Services are provided on an 'as is' and 'as available' basis and we make no representations or warranties of any kind, either express or implied by law.

Subject to the Non-Excludable Liabilities, we disclaim all liability and responsibility arising from any unavailability at any time for any reason any part of the Software and the Services or any reliance placed on any content or information provided by the Services, or by anyone who may be informed of the same.

We will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of Software or to your use of the Software and Services in connection with it.

11. Platform Updates

11.1 Platform Updates

We regularly improve EZ Wire through updates that may include:

  • New features and capabilities
  • Security enhancements
  • Performance improvements
  • Bug fixes

Most updates are automatic and transparent to users.

11.2 Terms Modifications

We may modify these Licence Terms at any time. Continued use of EZ Wire after changes become effective indicates acceptance. If you disagree with changes, you may cancel your subscription.

12. Account Deletion

12.1 Deletion by You

You can delete your account anytime by accessing https://ezwire.app/settings/profile.

12.2 Deletion by Us

We may suspend or delete accounts for:

  • Non-payment after reasonable notice
  • Violation of these Terms
  • Illegal activity or misuse of the service

12.3 Effect of Deletion

Upon deletion:

  • Immediate loss of access to EZ Wire
  • Permanent deletion of data after 30 days
  • No refund for unused subscription time (unless required by law)

13. Dispute Resolution

13.1 Customer Complaints

For service issues, contact us at [email protected]. We aim to resolve complaints within 5 business days.

For billing disputes, contact Paddle Support directly.

13.2 Consumer Rights

If you are a consumer, you benefit from UK consumer protection laws. These Terms do not limit your statutory rights, including rights under the Consumer Rights Act 2015.

14. Legal Framework

14.1 Governing Law

These Terms are governed by the laws of Scotland and the United Kingdom. Disputes will be resolved in Scottish courts, except where consumer law provides otherwise.

14.2 Business vs Consumer Terms

For business customers, these Terms constitute the complete commercial agreement. The Unfair Contract Terms Act 1977 applies to assess the reasonableness of liability limitations.

For consumers, you retain all statutory rights under consumer protection legislation.

14.3 Severability

If any provision is found unenforceable, the remaining Terms continue in full effect.

14.4 Assignment

You may not transfer your rights under these Terms. We may assign our rights and obligations with reasonable notice.

15. Feedback and Improvements

15.1 User Feedback

We welcome suggestions for improving EZ Wire. Any feedback you provide becomes our property and may be used without restriction or compensation.

15.2 Beta Features

We may occasionally offer beta or experimental features. These are provided "as is" with no warranty and may be discontinued without notice.

16. Force Majeure

Neither party shall be liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, government actions, internet outages, or other unforeseeable events.
